Terms and Conditions

These Terms and Conditions (“Terms”) govern participation in the Ordway Golden Ledger Referral Program (the
“Program”), offered by Ordway Labs, Inc. (“Ordway,” “we,” “us,” or “our”). By submitting a referral, the participant (“Referrer,” “you”) agrees to these Terms.

Definitions

• Referral: A company and decision-maker contact submitted by the Referrer via Ordway’s referral form or designated email.
• Qualified Demo: A scheduled product demo completed with Ordway’s Sales team by the referred decision-maker (or their
  delegate) lasting ≥30 minutes and covering core scope; discovery-only calls do not qualify.
• Converted Referral: A referred company that signs a new customer agreement with Ordway and remits first invoice payment.
• Active Pipeline / Prior Engagement: Any record in Ordway CRM with sales activity, demo, proposal, or opportunity stage in the
  preceding 6 months.

Eligibility (Referrer)

• Referrer must be 18+ and legally able to receive incentives.
• Referrer may not be an employee, contractor, or agent of Ordway or its affiliates.
• If Referrer’s employer or policies restrict incentives, Referrer must obtain approvals before participating. Where incentives are
  prohibited (e.g., certain public-sector or regulated industries), Ordway may offer a permitted alternative (e.g., donation) or deem
  the referral ineligible.

Who Qualifies as a Valid Referral

A referral qualifies for the Ordway Customer Referral Program only if all the following are true at the time of submission:

• The referred contact is a finance or accounting decision-maker — for example, a CFO, VP, Director, Controller, or other senior
  stakeholder involved in revenue, billing, or accounting operations.
• The contact has consented to be introduced, and the referrer confirms they have permission to share their details.
• The company operates in a recurring-revenue or subscription-based business model (such as SaaS, AI, Fintech, Cloud Infrastructure, Streaming, DTC subscription, or Data Products).

The company is based in the United States or Canada.

• The company generates at least $1M in annual recurring revenue (ARR).
• The company and contact are new to Ordway, meaning they are:
• Not an existing Ordway customer, and
• Not already in discussions or prior engagement (including demos, open trials, or renewals) within the past 6 months.

Exclusions & Conflict Rules

• Already engaged: Any prospect already in CRM or with a completed demo/sales call in the last 6 months is ineligible.
• Duplicates: If multiple Referrers submit the same company, Ordway honors the first validated submission. No split payouts
  unless agreed in writing by Ordway.
• Affiliations: Self-referrals (your own employer, subsidiaries, or entities under common control) are ineligible unless Ordway
  approves in writing.
• Competitors/agents: Employees, agents, or representatives of direct competitors, as determined by Ordway, are ineligible.
• Channel conflicts: If a registered partner or reseller has sourced or is working the account, Ordway may deem the referral
  ineligible to avoid channel conflict.

Rewards & Payout Terms

• Demo Reward: $150 USD (Amazon or Visa digital gift card) per Qualified Demo.
• Conversion Reward: $2,000 USD per Converted Referral.
• No Cap: Unlimited qualified referrals and earnings.
• Currency: All rewards in USD. For non-U.S. recipients, FX conversions/fees may apply per payout method.

Payout Timing & Method

• Demo Reward Timing: Issued within 5 days after Ordway verifies the Qualified Demo.
• Conversion Reward Timing: Issued within 30 days of first invoice collection from the Converted Referral (i.e., cash received, not
  booking/signature).
• Method: Electronic funds transfer or digital gift card, at Ordway’s discretion. If a chosen method isn’t permissible in a recipient’s
  country/organization, Ordway will offer a reasonable alternative or may deem the referral ineligible.

Taxes & Reporting

• Rewards are taxable income to the Referrer. Referrer is responsible for all taxes.
• Ordway may require tax forms (e.g., W-9 for U.S., W-8BEN/W-8BEN-E for non-U.S.) and may issue Form 1099-MISC or equivalent.
• Ordway may withhold taxes as required by law.

Compliance, Anti-Bribery & Ethics

• Referrer warrants compliance with all applicable anti-corruption, anti-bribery, and anti-kickback laws.
• Public-sector referrals (or where gifts/incentives are restricted) must be disclosed; Ordway may substitute a compliant
  alternative or deem ineligible.
• No spam or unsolicited mass outreach using Ordway’s name. All introductions must be consensual.

Data Privacy & Confidentiality

• By submitting a referral, Referrer provides personal data necessary for Program administration. Ordway will process such data
  per its Privacy Policy.
• Referrer agrees to keep non-public Program terms and any Ordway materials marked confidential confidential, and use them
  only for the Program.

Publicity

• With Referrer’s consent (which may be email), Ordway may acknowledge Referrer’s participation (name/company) in Program-
  related communications. Referrer may decline; declining does not affect eligibility.

No Agency; Independent Status

• Participation does not create any partnership, agency, employment, or joint venture. Referrer may not make commitments or
  statements on behalf of Ordway.

Right to Modify, Suspend, or Terminate

• Ordway may modify, suspend, or terminate the Program or these Terms at any time. Submissions validated before a change
  remain governed by the Terms in effect at time of submission.

Limitation of Liability

• To the maximum extent permitted by law, Ordway is not liable for indirect, incidental, special, consequential, or punitive
  damages, lost profits, or lost opportunities arising from or related to the Program.
• In all cases, Ordway’s aggregate liability to a Referrer is limited to the total rewards actually payable to that Referrer under this
  Program.

Dispute Resolution; Governing Law

• Governing Law: State of Delaware, USA (excluding conflict-of-law rules).
• Venue: State or federal courts in Delaware; Referrer consents to jurisdiction.
• Ordway may elect binding arbitration for individual disputes under AAA Commercial Rules; if elected, venue is Delaware and
  each party bears its own costs unless the arbitrator decides otherwise.

Adjustments, Clawbacks & Edge Cases

Refunds/Chargebacks: If the customer’s first payment is refunded or charged back within 90 days, Ordway may withhold or claw
back the Conversion Reward.

• Misrepresentation: Any inaccurate, misleading, or fraudulent submission voids eligibility and may trigger clawback.
• M&A / Corporate Changes: If the referred company merges or restructures before payment, Ordway will assess eligibility based
  on the original contracting entity’s revenue obligation and payment.
• Attribution Disputes: Ordway’s CRM timestamps and validation logs control. Ordway’s determination is final.

Miscellaneous

• Severability: If any provision is unenforceable, the remainder remains in effect.
• Assignment: Referrer may not assign rights/obligations without Ordway’s written consent; Ordway may assign to an affiliate or
  successor.
• Void where prohibited.
